ST HLDGS (08305) announces that on September 28, 2026, the Company entered into a procurement cooperation agreement with an independent third-party partner, Letian Investment Holding (Guangdong) Group Co., Ltd. (Letian Investment). The two parties intend to establish a long-term industrial cooperation relationship to jointly build a supply chain business operations platform.
Letian Investment will utilize its own resources to introduce diversified external supply chain businesses, including big health, community consumption, and beauty industries, to the Group's operations platform, which is expected to bring incremental revenue and profit to the Group.
Letian Investment intends to conduct procurement through the Group's subsidiary, Fuping Shengtang Food Technology Co., Ltd. In view of the production cycle of goat milk products and the seasonal demand in the big health and beauty markets, during the term of the agreement, both parties will execute orders in batches to ensure supply chain flexibility and capacity matching. Letian Investment has expressed its intention to commit to procuring the Group's goat milk products from the Company for five consecutive years on an annual basis, with a proposed minimum annual procurement amount of approximately RMB 100 million.
Both parties agree that they will further explore arrangements for in-depth capital cooperation based on business development and performance achievement.
This cooperation represents an important layout for the Group's industrial channel expansion. Through this cooperation, it is expected to help consolidate the sales scale of the Group's dairy products business and open up a new supply chain track. At the same time, the introduction of external supply chain businesses will further enrich the Group's business segments, thereby enhancing the Group's long-term development potential. The Board considers that the terms of the cooperation agreement are fair and reasonable and in the overall interests of the Company and its shareholders.
