ZXZN QI-HOUSE (08395) announced that on October 5, 2026, the buyer Qi-House Investment Group Limited (a direct wholly-owned subsidiary of the company) entered into a share sale agreement with the seller Huagang Transportation Enterprise Limited, pursuant to which the seller has conditionally agreed to sell and the buyer has conditionally agreed to purchase the sale shares for a consideration of HK$45 million. The sale shares represent 45 million ordinary shares of the target company Jinjun Services Limited, accounting for 30% of the target company's issued share capital.
ZXZN QI-HOUSE (08395) announces that on October 5, 2026, the buyer, Qi-House Investment Group Limited (a direct wholly-owned subsidiary of the Company), entered into a share sale agreement with the seller, (Wah Kong Transportation Enterprise Limited). The seller has conditionally agreed to sell, and the buyer has conditionally agreed to purchase, the sale shares for a consideration of HK$45 million. The sale shares represent 45 million ordinary shares of the target company, (Jinjun Services Limited), representing 30% of the target company's issued share capital.
The consideration will be paid in cash and consideration shares. The consideration shares (i.e., 20 million new shares) represent approximately 1.11% of the Company's issued share capital as enlarged by the consideration shares, assuming the acquisition has been completed, all consideration shares have been allotted and issued, and the placing has not been completed. The issue price of HK$1.75 per share represents a discount of 1.7% to the closing price of HK$1.78 per share as quoted on the Stock Exchange on the last trading day.
The target company, Jinjun Services Limited, principally provides security guard services and professional cash management solutions, and holds a security company licence issued by the Hong Kong Security and Guarding Services Industry Authority, covering Type I (provision of security guard services), Type II (provision of armoured transportation services), and Type III (installation, maintenance and/or repair of security devices).
The Group has been identifying opportunities to consolidate its existing businesses, broaden and diversify its revenue base, and enhance shareholder returns. Since January 2024, the Group has gradually expanded from its original furniture and home accessories business to the sale and trading of components and automation equipment (including the provision of technical services). Given that, under current market conditions, the revenue contribution from the Group's principal furniture and home accessories business is relatively limited, the Group has been actively identifying suitable investment opportunities in technology and automation to further develop additional revenue sources and enhance its overall profitability, which led to the acquisition of TGX. The acquisition enables the Group to participate in the digitalization and modernization of Hong Kong's precious metals market, in line with the Hong Kong government's initiatives to promote Hong Kong as a regional gold reserve hub and international gold trading centre, including expanding gold storage capacity, developing gold trading and settlement infrastructure, and strengthening connections with the precious metals market in mainland China.
