MTR CORPORATION (00066) announced that on 2 October 2026, the Company and the Government, without either party admitting any liability, entered into two settlement deeds (respectively the "High Speed Rail (Hong Kong Section) Settlement Deed" and the "Shatin to Central Link Settlement Deed", collectively the "Settlement Deeds") in respect of the High Speed Rail (Hong Kong Section) project as further defined in the High Speed Rail (Hong Kong Section) agreement described below and the Shatin to Central Link project as further defined in the Shatin to Central Link agreement described below.
MTR CORPORATION (00066) announces that on 2 October 2026, without either party admitting any liability, the Company and the Government entered into two settlement deeds (respectively the "High Speed Rail (Hong Kong Section) Settlement Deed" and the "Shatin to Central Link Settlement Deed", collectively the "Settlement Deeds") in respect of the High Speed Rail (Hong Kong Section) project as further defined in the High Speed Rail (Hong Kong Section) agreements described below and the Shatin to Central Link project as further defined in the Shatin to Central Link agreements described below. Accordingly, save for certain limited exceptions, the Company and the Government have reached an amicable settlement of all disputes, differences, claims and potential claims arising from or in connection with: (i) the 2008 High Speed Rail (Hong Kong Section) preliminary entrustment agreement, the 2010 High Speed Rail (Hong Kong Section) entrustment agreement, the 2015 High Speed Rail (Hong Kong Section) agreement and the related 2020 deed (collectively the "High Speed Rail (Hong Kong Section) Agreements"); and (ii) the 2008 Shatin to Central Link preliminary entrustment agreement, the 2011 Shatin to Central Link advance works entrustment agreement, the 2012 Shatin to Central Link entrustment agreement ("Shatin to Central Link Entrustment Agreement III"), the 2016 Contract 901 and the related 2025 deed (collectively the "Shatin to Central Link Agreements"). The Settlement Deeds resolve significant disputes and differences between the Company and the Government relating to the High Speed Rail (Hong Kong Section) Agreements and the Shatin to Central Link Agreements, terminate existing reservations of rights, and provide broad mutual waivers in respect of past claims and potential claims. Certain continuing obligations and remaining liabilities expressly set out in the Settlement Deeds will continue to apply. The Board considers that the Settlement Deeds avoid potentially lengthy, complex and costly dispute resolution proceedings and eliminate significant litigation risk and uncertainty in relation to future claims. The Settlement Deeds also avoid substantial diversion of management time and resources, and help the Company and the Government maintain a constructive and cooperative relationship in respect of railway operations and future infrastructure projects.
