SF INTRA-CITY (09699) subsidiary Shenzhen Zhilian and SF Taisen enter into 2026 unmanned vehicle leasing framework agreement

SF INTRA-CITY (09699) announces that on September 24, 2026, Shenzhen Zhilian, a wholly-owned subsidiary of the Company, entered into the 2026 Unmanned Vehicle Leasing Framework Agreement with SF Taisen, pursuant to which Shenzhen Zhilian (as lessor) agreed to lease unmanned vehicles to SF Taisen and/or its associates (as lessee). The 2026 Unmanned Vehicle Leasing Framework Agreement is a framework agreement under which SF Taisen and/or its associates may, from time to time during the term of the agreement, lease unmanned vehicles from Shenzhen Zhilian by placing specific leasing orders. The annual cap for the transactions contemplated under the 2026 Unmanned Vehicle Leasing Framework Agreement for the year ending December 31, 2026 is RMB 28.5 million. Shenzhen Zhilian is positioned as an unmanned vehicle operation platform company within the Intra-City Group that provides integrated solutions for unmanned vehicles and capacity services, offering automotive companies and end customers flexible vehicle usage and efficient capacity support covering the full lifecycle of unmanned vehicles. The 2026 Unmanned Vehicle Leasing Framework Agreement was entered into against the backdrop of resource sharing and collaborative development between the Intra-City Group and the SF Group. The Directors believe that entering into the 2026 Unmanned Vehicle Leasing Framework Agreement will enable the Intra-City Group to introduce the SF Group as a cornerstone customer of Shenzhen Zhilian to support the development of the Intra-City Group's unmanned vehicle operation platform. By introducing the SF Group as a cornerstone customer, Shenzhen Zhilian will also be in a more favorable position when negotiating with upstream unmanned vehicle manufacturers, so as to achieve economies of scale and maximize its cost advantages and bargaining power. The 2026 Unmanned Vehicle Leasing Framework Agreement also helps the Intra-City Group and the SF Group deepen and enrich their cooperation models in the last-mile delivery sector, which will further drive the business growth and diversification of the Intra-City Group. The Directors also believe that entering into the 2026 Unmanned Vehicle Leasing Framework Agreement provides a clear contractual framework for specific leasing orders from SF Taisen and other similar lessees in the future, including pricing, settlement and allocation of responsibilities, thereby enhancing transaction certainty and administrative efficiency.
