CENTRALCHINA MT (09982) announced that on September 23, 2026, the buyer (an indirectly wholly-owned subsidiary of the Company) entered into a share purchase agreement with the sellers (Zhongcai Herui and CBN) and the target company Lianheng Technology. Pursuant to the terms and conditions of the share purchase agreement, the buyer has conditionally agreed to acquire, and the sellers have conditionally agreed to sell, the sale shares (representing an aggregate of 25% of the issued share capital of the target company), for a consideration of HK$100 million, which will be settled partly in cash of HK$13,725,500 and partly through the allotment and issue of 1,078,000,000 consideration shares at an issue price of HK$0.08 per consideration share under a specific mandate.

The target group is a contracted advertising agency for several mainstream internet platforms. It also holds multiple patents related to AI technologies, including technologies relating to methods and systems for developing intelligent customer service chatbots and video generation. The target group also possesses technical capabilities in generative engine optimization (GEO). In addition, the target group has developed software products for the real estate industry, including AI digital employee systems and intelligent customer marketing systems.
Seizing the development opportunities brought by the transformation of the construction management industry and AI applications
The construction management business mainly involves the provision of professional services that can be standardized and replicated. Multiple aspects of the business, including investment assessment, project planning, cost control and marketing, involve knowledge-intensive and repetitive workflows. The Board believes that AI technologies have considerable application potential in these areas, and can enhance business decision-making and project execution efficiency, optimize operating costs, and improve service quality and customer experience. In addition, against the backdrop of the ongoing adjustment in the real estate industry, the Board believes that combining technological capabilities with the Group's construction management business can enable the Group to enrich its existing business model, explore sustainable revenue sources, and enhance its long-term development potential. The implementation of the "construction management + technology" development strategy is also expected to enhance the Group's visibility in the capital market, broaden its investor base, and create new business development opportunities for the Group.
Taking into account the industry competitive landscape and the fact that the application of AI technologies in the construction management industry is still at a development stage, the Board believes that, compared with relying entirely on internal independent development, acquiring relatively mature technological capabilities and related resources through the acquisition can shorten the development cycle of the Group's technological and business capabilities and facilitate the integration of AI technologies with its existing construction management business. Based on the above factors, the Board believes that the acquisition is of strategic significance and possesses economic value and future business expansion potential.
Empowering brand building, marketing and sales with AI to promote business diversification and long-term development
Upon completion of the acquisition, the Group intends to gradually apply the target group's technological capabilities in content marketing and AI-driven customer acquisition to areas such as the Group's cooperation with government and corporate customers, investment promotion, customer expansion, and brand building for its construction management business.
The Board believes that as the real estate market gradually shifts from new development to the operation of existing property assets, customer reach, sales conversion and marketing efficiency are increasingly becoming important factors affecting the overall performance of property projects. The traditional property sales model relies relatively heavily on intermediary channels, physical sales offices and the experience of individual sales personnel, and may face issues such as relatively high channel costs, delayed responses to customer leads, inconsistent accuracy in matching customer needs, and difficulty in quantifying marketing effectiveness. By introducing the target group's relevant technologies, the Group intends to establish a digital marketing system covering content promotion, precise targeting, customer lead response, demand matching and marketing effectiveness evaluation.
In addition, the acquisition is expected to enable the Group to gradually extend its existing construction management services from project development and construction management to marketing and sales support. Depending on the specific needs of individual projects, the Group may provide clients with integrated "construction management + marketing and sales" services, thereby further enriching its service offerings, enhancing its comprehensive service capabilities, and broadening potential revenue sources.
