Hongfuhan (301086.SZ) announced that its wholly-owned subsidiary, Hong Kong Hongfuhan, plans to acquire 100% equity of GP BVI (pre-capital increase) held by GP Holdings for RMB 20.5 million, and to increase capital in GP BVI by RMB 520 million, thereby holding a 49% stake in COP Digital Energy S.A.R.L (referred to as "COP Company") through GP BVI; at the same time, Hong Kong Hongfuhan will acquire a 49% stake in ECOSOLEIL S.A.S held by natural person Huang Hongxuan for RMB 19.5 million, and hold a 24.99% stake in COP Company through ECOSOLEIL S.A.S, thereby achieving the acquisition of a 73.99% stake in COP Company.

It is reported that Hong Kong Shenzhen hongfuhan Technology intends to obtain a 73.99% equity interest in COP, thereby securing the revenue under the Power Purchase Agreement signed between COP and Comika. Through the long-term power purchase agreement, the electricity price is locked in, enabling the company to receive electricity purchase consideration from Comika at a price of USD 0.15/KWh after the power station is completed. The above transaction closely revolves around the company's core business in the photovoltaic energy storage sector, aiming to seize the urgent demand for stable power supply in the Comika mining area market. By investing in and constructing a source-grid-load-storage power station at the project site, the company can effectively match the localized electricity demand of mining area customers and deepen strategic cooperative relationships with key customers.
