EDVANCE INTL (01410) announces a strategic cooperation agreement relating to the joint development and operation of an agentic AI platform and the establishment of platform operations in Singapore. Paradise Matrix Pte. Ltd. (Paradise Matrix), an indirect wholly-owned subsidiary of the Company incorporated in Singapore, has engaged CWG Innovations Pte. Ltd. (CWG), a service provider incorporated in Singapore, to jointly develop with the Group an integrated agentic AI platform, RealRelay.ai (the Platform). The Platform is intended to offer, through a subscription model, multiple AI agents dedicated to the cybersecurity vertical.
Building on the progress achieved in developing the Platform, on 22 September 2026, Paradise Matrix and CWG (as the operator of the Platform) formally entered into a strategic cooperation agreement, which sets out clear divisions of responsibilities. Leveraging the Group's expertise in cybersecurity product distribution, the Group's primary role in this cooperation is to commercialize the Platform so that the Platform may generate subscription fee revenue in the future. CWG will be responsible for the Platform's day-to-day operations, maintenance, management and administrative affairs. Pursuant to the agreement, all intellectual property developed or created specifically for the Platform and relating to cybersecurity vertical AI agents shall belong to and be exclusively owned by the Group. The parties further agreed that the vertical AI agents that the Platform may offer could cover education and any other sectors that may be expanded into in the future.
The Platform will operate in Singapore, and Singapore will become the Group's base for promoting the Platform in ASEAN, complementing the Group's business at its Hong Kong headquarters. The cooperating parties will initially focus on the Singapore market and plan to expand to other ASEAN markets.
RealRelay.ai is developed as an integrated agentic AI platform designed to help enterprises and institutions create, govern and deploy AI agents without coding. The Platform integrates over 300 mainstream third-party AI models through a single interface and is equipped with intelligent routing that can select the appropriate model for each task. The Platform can support cloud, on-premises and air-gapped deployment configurations, and customers can retain their own keys and connect to their own local models. Users can describe the desired functionality in natural language to build, publish and share customized agents, and the Platform is expected to support agent transactions, through which users can offer developed agents to other users at an appropriate time.
The Board believes that the Group's continued cooperation with CWG under the agreement will benefit the Group in the following aspects:
A more diversified revenue structure. With the customer relationships maintained by the Group and vertical-specific industry intellectual property, revenue generated from subscriptions and usage-based fees will in the future supplement the Group's existing distribution and service revenue, with the potential to enhance earnings visibility and increase shareholder returns.
Participation in the agentic AI market. The Group's expertise in cybersecurity, enterprise customer base and AI cybersecurity technology center are expected to complement CWG's ongoing platform development and operation capabilities. The Board believes that through this cooperation, the Group can bring native AI products to market in a more timely manner and at lower development cost without building its own platform.
A favorable policy environment in Singapore. This cooperation initially focuses on developing the Singapore market, based on the Company's understanding of a policy announced by the Singapore government in January 2026: it will invest more than S$1 billion in its "National AI R&D Programme" between 2025 and 2030. It is also understood that students enrolled in Singapore higher education institutions are expected to be required to take a mandatory module covering basic AI capabilities starting from the 2027 academic year. It is believed that these developments will drive institutional and enterprise demand in the cybersecurity and education sectors.
