Recently, Hangzhou home appliance retailer Jingrui Wang Pu Holdings Group Ltd. (hereinafter referred to as "Jingrui Wangpu") once again submitted a prospectus to the U.S. Securities and Exchange Commission, planning to issue 6.25 million ordinary shares at $4 to $6 per share, raising approximately $37.5 million based on the upper limit of the offering range, under the ticker symbol "JRWP," with Eddid Securities serving as sole bookrunner, and plans to list on Nasdaq.
Jingrui Wangpu's second filing comes as China's home appliance retail industry enters a period of deep adjustment: in the first half of 2026, retail sales of all home appliance categories in China (excluding 3C) totaled approximately RMB 425 billion, down 9.9% year-over-year, with the industry shifting comprehensively from incremental expansion to a game centered on "stock replacement + value upgrading." However, the continued momentum of trade-in subsidy policies has offset downward pressure to some extent. In the first half of the year, the scale of home appliance trade-ins reached 63.266 million units, and the share of offline channel sales rebounded against the trend to over 70%, with the value of offline physical stores as the primary channel for reaching subsidized consumption being repriced.
Against this backdrop, Jingrui Wangpu, which has the home appliance industry for more than twenty years, operates a "retail stores + wholesale distribution" dual-drive model. As of the date of the prospectus, it operates 10 retail stores and 22 wholesale distribution customers. In fiscal year 2026, it sold 28,513 home appliances, with home appliance sales revenue reaching $12.065 million, accounting for 85.4% of total revenue; revenue for fiscal years 2025 and 2026 (ended March 31) was $12.4945 million and $14.1161 million, respectively, with net profit of $1.6156 million and $1.9045 million, respectively, and net margin rising from 12.9% to 13.5%.
The synergy between retail stores and wholesale distribution is significant
Jingrui Wangpu's business model is not simply buying and selling home appliances, but a refined operating system based on the dual drive of "retail stores + wholesale distribution." The core of this model lies in directly reaching end consumers through retail stores while covering a broader regional market through the wholesale distribution network, forming a channel layout that combines "points and surfaces."
From the retail side, as of the date of the prospectus, Jingrui Wangpu operates 10 retail stores. These stores are not only sales terminals but also comprehensive carriers for brand display, after-sales service, and consumer experience. As the home appliance industry shifts from incremental expansion to stock replacement, the value of offline stores has been redefineda key touchpoint for the implementation of trade-in policies. In the first half of 2026, the scale of home appliance trade-ins reached 63.266 million units, and the share of offline channel sales rebounded against the trend to over 70%, a trend that directly benefits Jingrui Wangpu's store network. When purchasing home appliances, especially large ones, consumers often need to physically experience product functions, dimensions, and texture. Offline stores provide this "what you see is what you get" consumption scenario, which online channels cannot fully replace.
From the wholesale side, Jingrui Wangpu has 22 wholesale distribution customers, who constitute the company's secondary distribution network, helping the company penetrate products into areas not covered by retail stores. The advantage of the wholesale distribution model is that it can quickly expand market coverage, reduce single-store operating costs, and enhance procurement bargaining power through economies of scale. In fiscal year 2026, Jingrui Wangpu sold 28,513 home appliances, with home appliance sales revenue reaching $12.065 million, accounting for 85.4% of total revenue. This data indicates that the company's dual-drive model has already established a certain market foundation in terms of scale.
It is worth noting that Jingrui Wangpu's net margin improved from 12.9% in fiscal year 2025 to 13.5% in fiscal year 2026, reflecting an improvement in the company's operating efficiency. Against the backdrop of an overall industry downturn, the increase in net margin indicates that the company has enhanced profitability by optimizing the supply chain, controlling costs, and increasing the share of high-margin product sales. This ability to "improve efficiency counter-cyclically" is a direct manifestation of the resilience of Jingrui Wangpu's business model.
Small and medium-sized retailers find alternative paths to break through
In the home appliance retail industry, the competitive landscape facing Jingrui Wangpu can be described as "surrounded by giants." From the upstream side, home appliance leaders not only control brands and products but are also gradually building their own channel systems. From the downstream side, e-commerce platforms such as JD.com and Tmall occupy a dominant position in online retail by virtue of traffic advantages and logistics systems. In such an environment, how small and medium-sized retailers like Jingrui Wangpu find their own survival space is key to whether they can gain investor recognition on Nasdaq.
Jingrui Wangpu's differentiated path is mainly reflected in three aspects.
First, deeply cultivating regional markets and establishing localized advantages. Unlike national chain retailers, Jingrui Wangpu, as a Hangzhou-based local enterprise, has deeply cultivated Zhejiang and surrounding markets for more than twenty years and has a profound understanding of local consumer needs, consumption habits, and channel characteristics. This localized advantage enables the company to form relatively high market penetration and brand awareness in specific regions, thereby securing a place in regional markets that giants find difficult to fully cover.
Second, focusing on offline experience and strengthening service attributes. Under the impact of e-commerce, customer acquisition costs for pure online retail continue to rise, while the experiential value of offline stores has instead been rediscovered. Jingrui Wangpu's retail stores are not only sales venues but also platforms for providing value-added services such as after-sales service, installation and maintenance, and trade-ins. This integrated "sales + service" model can enhance customer stickiness and repurchase rates, forming a differentiated competitive advantage.
Third, flexibly responding to policy dividends and seizing structural opportunities. In the first half of 2026, the continued momentum of trade-in subsidy policies brought new growth momentum to offline channels. As an offline physical store operator, Jingrui Wangpu can directly reach consumers enjoying subsidy policies, thereby benefiting from policy dividends. By contrast, although e-commerce platforms also offer online trade-in services, in actual operation, the convenience and trustworthiness of offline stores are often more advantageous.
However, a differentiated path does not mean there are no risks. Jingrui Wangpu is relatively small in scale and has relatively weak risk resistance. Once industry competition intensifies or policy dividends fade, the company may face greater operating pressure. In addition, the company has obvious gaps with industry leaders in brand influence, supply chain bargaining power, and digital operating capabilities, and these shortcomings may constrain the company's long-term development.
From the perspective of the competitive landscape, Jingrui Wangpu's core competitiveness lies in its "small but beautiful" refined operating capability rather than scale expansion. Whether this model is replicable and sustainable will be the key factor determining the company's valuation. If the company can prove that its dual-drive model can be replicated in more regional markets and can continue to improve operating efficiency and profitability, then its price-earnings growth may receive some support. Conversely, if the company cannot break through the scale bottleneck, then its survival space under the shadow of giants may be further compressed.
