TENNOR THERAP-B (06872): Formulation of the 2026 H Share Award Scheme

TENNOR THERAP-B (06872) announced that, in order to further establish and improve a long-term incentive mechanism, attract and retain outstanding talent, fully mobilize employees' enthusiasm and creativity, enhance employee cohesion and the Company's core competitiveness, thereby bringing sustained growth in investment returns to the majority of investors, effectively aligning the interests of the Company's shareholders, the Company's interests, and the personal interests of the incentive recipients, and promoting the Company's long-term, sustainable, and healthy development, the Board agreed to formulate the H Share Scheme. The H Share Scheme uses the Company's existing H shares as the source of incentive shares to grant restricted shares to incentive recipients. The Company will act as settlor and enter into a trust deed with the trustee, pursuant to which a trust will be established to serve the H Share Scheme. Subject to compliance with the trust deed and the Company's instructions, the trustee will purchase the relevant H shares involved in the H Share Scheme through market transactions. The funds used to purchase the award shares will come from the Company's own funds. The maximum number of award shares to be granted under the H Share Scheme shall be 5% of the total number of shares of the Company as at the date of adoption of the H Share Scheme.
