As the transaction parties failed to reach agreement on core commercial terms such as the implementation path of the transaction, the arrangement for the implementation of the transaction structure, and the delivery conditions, and the parties failed to reach relevant supplementary agreements or restated or amended agreements on the specific arrangements for this transaction within 6 months after the signing of the Asset Purchase Agreement, after consultation with the major shareholders of the counterparties and upon careful consideration, the company decided not to extend the aforementioned period and not to continue to pursue this transaction. The termination of the transaction will not have a material adverse impact on the company's existing daily operations and financial condition.
