JIUFANG DIGITAL (08238) announces that on September 18, 2026, the Company proposes to issue convertible bonds with an aggregate principal amount of HK$13.92 million to the subscriber (Jinhui Capital Holdings Limited). Upon full conversion of the convertible bonds at the initial conversion price of HK$0.2 per conversion share (subject to adjustment), a total of 69.6 million conversion shares will be issued, representing approximately 20% of the Company's existing issued share capital and approximately 16.7% of the issued share capital as enlarged by the issue of the conversion shares. The net proceeds from the subscription will be approximately HK$13.9 million. The Group intends to use the net proceeds raised from the issuance of the convertible bonds as general working capital, including: settlement of the Group's trade payables and debts, construction and operating expenses of the Northern Regional Center, development and upgrading of the existing AI marketing system, payment of legal and professional fees, employee costs, and other operating and general administrative expenses.
