METASURFACE (08637): Termination of Concert Party Confirmation Deed

METASURFACE (08637) announced that the Company was informed by the Concert Parties that they had executed a termination deed on 17 September 2026 to terminate the Concert Party Confirmation Deed (the Termination Deed). Upon the termination of the Concert Party Confirmation Deed (the Termination), the Concert Parties are no longer bound by the Concert Party Confirmation Deed and the concerted action arrangements thereunder. Immediately following the Listing and up to the Termination, Dato' Seri Mr. Chai, Datin Seri Madam Chai, SGP Capital Holdings Limited (SGP BVI, a company wholly owned by Dato' Seri Mr. Chai) and Baccini Capital Holdings Limited (Baccini, a company wholly owned by Datin Seri Madam Chai) have each been regarded as our controlling shareholders. Notwithstanding the Termination, Dato' Seri Mr. Chai and Datin Seri Madam Chai are regarded as a group of controlling shareholders due to their spousal relationship, and accordingly, the controlling shareholders of the Company remain unchanged under the Takeovers Code.
