Shenzhen Forms Syntron Information (06700) opened its IPO subscription from September 14 to 17, and the subscription period has now closed. The shares are scheduled to be listed and traded on the HKEX on September 22. As of noon on September 17, based on the public offering amount of HK$94.34 million, the margin subscription amount for Shenzhen Forms Syntron Information was approximately HK$640 million, representing an oversubscription of 5.8 times. According to the IPO plan, Shenzhen Forms Syntron Information plans to issue 58.961 million H shares, with 10% for public offering in Hong Kong, at a maximum offer price of HK$16 per share, raising up to HK$940 million. The board lot size is 100 shares, with an entry fee of HK$1,616.1 per lot. CMBI and Guosen (Hong Kong) are its joint sponsors. The company is a mature banking fintech service provider rooted in the Greater Bay Area, providing fintech software development services, consulting services, and system integration services to banks, regulators, and other financial institutions in mainland China and Hong Kong, helping them continuously advance their digital transformation. Shenzhen Forms Syntron Information's innovation is driven by two proprietary technology platforms: FINNOSafe (which automates compliance across the entire lifecycle of tokenized assets by embedding regulatory rules into smart contracts) and FINNOSmart (an enterprise-grade generative AI platform that ensures data sovereignty). As an adopter of AI, the company co-developed Banking Copilot with Microsoft in 2023, which has evolved into an intelligent agent focused on fraud prevention and ensuring compliance. Major customers contribute a relatively high proportion of the company's revenue, mainly including financial institutions and non-bank financial institutions. In 2025, revenue from the top five customers accounted for 89.1%. In terms of financials, for the years 2023, 2024, and 2025, and for the three months ended March 31, 2026, the company achieved revenue of approximately RMB 730 million, RMB 740 million, RMB 631 million, and RMB 156 million, respectively; during the same periods, it recorded annual/period profits of approximately RMB 47.38 million, RMB 67.364 million, RMB 74.281 million, and RMB 10.611 million, respectively. Regarding cornerstone investors, Shenzhen Forms Syntron Information has introduced CHOW TAI FOOK (01929) Vice Chairman and Executive Director and Shanghai New World (00017) Non-Executive Director Cheng Chi-heng, Successful Lotus (a wholly-owned investment holding company of Henderson Land (00012) Chairman and Managing Director Lee Ka-kit), Thalassa Capital, and Yidu Kaiyuan (wholly owned by Yidu Holdings (00259)) as cornerstone investors, with total subscription amounts of HK$120 million. Regarding the use of net proceeds: 35% will be used to enhance R&D capabilities, with a focus on developing key technologies and services; 25% will be used to enhance delivery capabilities to support geographic expansion and customer growth strategies; 15% will be used to strengthen sales capabilities in mainland China and global markets; 15% will be used for potential investments and acquisitions to strengthen technical capabilities, improve the business ecosystem, and support long-term growth strategies; and 10% will be used as working capital and for general corporate purposes.
