YUK WING GP (01536) announced that on 15 September 2026 (after trading hours), the board of directors of the Company was informed by Choi Fai Investment Limited (Choi Fai), the controlling shareholder of the Company, that it had disposed of a total of 176 million shares of the Company (the Shares) during the period from 8 September 2026 to 15 September 2026, representing approximately 38.54% of the total issued share capital of the Company as at the date of this announcement. Immediately prior to the share disposal, Choi Fai had an interest in 188 million Shares, representing approximately 41.27% of the total issued share capital of the Company as at the date of this announcement. Immediately following the share disposal, Choi Fai held 12,446,000 Shares, representing approximately 2.73% of the total issued share capital of the Company as at the date of this announcement, and therefore ceased to be the controlling shareholder of the Company. On 15 September 2026 (after trading hours), the board of directors was also informed by Hellobaby International Limited that it had on 15 September 2026 purchased 132 million Shares from Choi Fai at approximately HK$0.454 per Share, representing 29.00% of the total issued share capital of the Company as at the date of this announcement, and had become a substantial shareholder of the Company. The Company has been informed that Hellobaby International Limited and its ultimate beneficial owner are independent of and not connected with Choi Fai or its associates, and are not acting in concert with them.
