CHAODA MODERN (00682) intends to acquire a total of 34% equity interest in Hong Kong Chaoda Fruit and Vegetable Wholesale and Distribution Limited for HK$5.19 million.

CHAODA MODERN (00682) announced that on September 14, 2026, a wholly-owned subsidiary of the Company, Hong Kong Chaoda Fruit and Vegetable Limited, intends to acquire from Mr. Wu Huihong, Mr. Huang Shaochuang and Mr. Lu Benli an aggregate of 34% equity interest in Hong Kong Chaoda Fruit and Vegetable Wholesale and Distribution Limited for a total consideration of HK$5.19 million. As at the date of this announcement, the Company indirectly owns 60% of the total issued shares of the target company through the purchaser. Upon completion of all the acquisitions, the Company will indirectly own 94% of the total issued shares of the target company. The Directors believe that the acquisitions will (i) simplify the shareholding structure of the target company and reduce the administrative and operational constraints brought about by the existing minority equity interests; (ii) strengthen the Group's control over the target company as well as its flexibility in management and funding; and (iii) enable the Group to retain a greater portion of the profits and cash flows generated by the target company (as a major revenue-contributing member of the Group).
