Shentong Robot Education (08206) announced that, with the approval of the independent board committee, Hongbo Capital Limited (a licensed corporation regulated under the Securities and Futures Ordinance for Type 1 (dealing in securities) and Type 6 (advising on corporate finance) regulated activities) has been appointed as the independent financial advisor to advise on (i) debt capitalization; (ii) subscription agreements and the proposed transactions thereunder (including the granting of special mandates); (iii) whether the Cleanliness Exemption is fair and reasonable to the independent shareholders and to provide advice to the independent board committee and independent shareholders, along with voting recommendations. This appointment has been approved by the independent board committee in accordance with Rule 2.1 of the Takeovers Code.
