CITIC (00267) announced that the Third Meeting of the Ninth Board of Directors of CITIC Offshore Helicopter Co., Ltd. will be held on September 3, 2026 (Thursday), during which the proposals concerning the removal of Mr. Dong Tieniu from the position of independent director and the nomination of independent director candidates for the Ninth Board of Directors will be reviewed. The details are as follows: During his term as an independent director on the Ninth Board of Directors, Mr. Dong Tieniu has consecutively failed to attend board meetings in person for personal reasons, nor has he delegated other independent directors to attend on his behalf. Upon the approval of the Nomination Committee of the Board of Directors and the Board meeting, it is proposed to remove Mr. Dong Tieniu from his position as an independent director of the Ninth Board of Directors, and his positions on the board's specialized committees will also be terminated accordingly. As of the date of this announcement, Mr. Dong Tieniu has not raised any objections regarding this matter of removal. This proposal is subject to review at the Fourth Extraordinary Shareholders' Meeting of 2026 and will take effect from the date of its approval by the shareholders' meeting. After reviewing and approving it by the Nomination Committee of the Board of Directors, the Board has decided to nominate Mr. Sun Bing as a candidate for the independent director of the Ninth Board of Directors, with his term starting from the date of election approval at the shareholders' meeting until the term of the Ninth Board of Directors expires.
