The spike in share price coincided with GoPro's announcement of a definitive merger agreement with private company Starman Optical, under which existing shareholders will receive a total of $285 million in cash, equivalent to $1.14 per share, while retaining about 10% equity in the merged company. Notably, this deal plans to propel GoPro's entry into sectors beyond traditional consumer cameras, including AI data center optics, defense, aerospace, and Siasun Robot & Automation.
On Tuesday, GoPro stated that it had signed a definitive merger agreement with Starman Optical. Under the terms of the deal, GoPro shareholders will receive a total of $285 million in cash, meaning about $1.14 per share, with the final amount subject to adjustment based on working capital. In addition to the cash consideration, existing GoPro shareholders will continue to hold approximately 10% equity in the merged company.
Upon completion of the transaction, GoPros existing debt of approximately $92 million will be fully repaid, resulting in a virtually debt-free balance sheet for the merged entity. The closing of this transaction is expected to be completed by the end of 2026, pending regulatory and shareholder approvals.
It is worth noting that before GoPro officially announced the merger with Starman Optical, its stock price had already experienced significant gains over two consecutive trading days, amounting to roughly 100%.
On Monday, news that popular content creator Mark Fischbach had become GoPro's largest single shareholder attracted market attention. This led to a surge in GoPro's stock price, which jumped 46.1% to close at $0.88.
As Tuesday's pre-market began, GoPro's stock price had already risen further, and following the official announcement of the merger with Starman Optical, the price climbed even more dramatically, surging about 85% shortly after opening.
This indicates that GoPro's recent rise was not solely driven by the merger announcement. Prior to this news, the fact that Markiplier had become the largest single shareholder had already ignited market enthusiasm for this low-priced stock, with the merger agreement further reinforcing investor optimism.
From the structure of the deal, GoPro shareholders are receiving more than just cash compensation.
