According to reports, Nvidia has agreed to acquire Hugging Face for $12.9 billion.
According to multiple media reports, NVIDIA Corporation (NVDA.US) has agreed to acquire Hugging Face, the world's largest open-source AI model collaboration platform, for $12.9 billion. If this deal is finalized, it will become one of the largest acquisitions in NVIDIA Corporation's history, marking a major shift for the AI chip giant from being a "compute power supplier" to a "full-stack AI ecosystem builder." Its strategic landscape has now expanded from GPU hardware to model hosting, developer ecosystems, and cloud computing services, setting off a comprehensive industrial competition focused on the AI "middle layer." Transaction Overview: A $12.9 Billion Acquisition of an "AI Arsenal" with 3 Million Models Hugging Face was established in 2016 and is headquartered in New York. It initially focused on chatbots and later transformed into an open-source AI model hosting platform, recognized in the industry as the "GitHub of AI." Developers can publish, download, and fine-tune open-source models on its platform. Currently, the platform hosts over 3 million publicly available models and more than 1 million datasets, making it the undisputed core of the global open-source AI community. NVIDIA Corporation's offer of $12.9 billion represents nearly a threefold increase from Hugging Face's valuation of $4.5 billion during its Series D funding round of $235 million completed in August 2023. According to The Information, Hugging Face's recent annualized revenue has reached $150 million, meaning the acquisition price is about 80 times its annualized revenue. It is worth noting that the acquisition was not without its hurdles. Reports earlier this year indicated that NVIDIA Corporation had attempted to invest $500 million directly into Hugging Face, aiming for a valuation of around $7 billion by the end of 2025, but was rejected by the latter. The founding team was concerned that too strong a tie with a single chip giant might compromise the platform's neutrality among competitors like AMD and Intel Corporation. Meanwhile, Microsoft Corporation had also met with Hugging Face, but negotiations did not proceed further. Strategic Logic: A Leap from "Selling Chips" to "Controlling Ecosystems" The core strategic intention behind this acquisition can be interpreted from three dimensions: First, a "defensive offense" to consolidate its dominance in the AI chip market. Currently, closed-source model companies like Anthropic and OpenAI are accelerating the development of their own AI server chips, attempting to reduce dependence on NVIDIA Corporation's GPUs. One of NVIDIA Corporation's strategies is to support the open-source ecosystem a thriving ecosystem of open-source AI models will provide customers with more alternatives to closed-source AI labs, and since almost all open-source models operate on NVIDIA Corporation's platform, this will allow the company to capture a larger market share. Siddy Jobe, a fund manager at Eonopolis Exponential Technologies, pointed out that NVIDIA Corporation aims to vertically integrate the entire technology stack, "from energy to foundational models and then to applications." Second, strategically positioning itself to control the AI "middle layer." Analysts indicate that the profits at the model layer are being squeezed by competition, and the real source of sustainable cash flow lies within the "pipeline" that connects models and users. Hugging Face is a key hub that connects developers, models, and compute powerit not only hosts models but also assists developers in optimizing those models for different server hardware and provides cloud services to support AI applications. Acquiring Hugging Face means that NVIDIA Corporation will directly control the "traffic entrance" and "distribution channel" for open-source AI. Third, this acquisition offers a "shortcut" back into the cloud computing market. About a year ago, NVIDIA Corporation scaled back its self-operated cloud service, DGX Cloud. Hugging Face's existing business includes helping developers lease compute power to run AI models, enabling NVIDIA Corporation to re-enter the relevant market without starting from scratch. NVIDIA Corporation's "Acquisition Frenzy": $12.9 Billion is Just the Tip of the Iceberg While the acquisition price of $12.9 billion is eye-catching, for NVIDIA Corporation, which reported quarterly revenues of $96.2 billion and nearly $60 billion in net profit, it is merely "pocket change." Over the past year, NVIDIA Corporation has engaged in a series of aggressive investments and acquisitions centered around the AI ecosystem: December 2025: Spent $20 billion to acquire the core team of chip startup Groq, setting a record for the largest acquisition in the companys history; August 2026: Reached a $6 billion non-exclusive technology licensing agreement with AI model startup Poolside; Meanwhile: Acquired Kumo AI and Essential AI; Continuously: Invested heavily in AI application developers such as OpenAI and Perplexity. As of the end of July, NVIDIA Corporation held private equity stakes valued at $47.9 billion and has committed an additional $18 billion for equity investments during the remainder of fiscal year 2027. Risks and Challenges: Regulatory Scrutiny and the "Open Paradox" Antitrust scrutiny is a significant hurdle. NVIDIA Corporation's dominant position in the AI chip market has attracted the attention of global regulators, and any large-scale acquisition will face strict reviews. The paradox of an "open ecosystem" is also worth noting. The value of Hugging Face lies precisely in its status as a neutral open-source platform. If it is acquired by NVIDIA Corporation, will developers from other chip manufacturers (such as AMD and Intel Corporation) still feel comfortable using the platform? Once acquired, this industry-neutral characteristic could face severe challenges. Some analysts suggest that this transaction will enable NVIDIA Corporation to deepen its involvement in AI models, software tools, and developer ecosystems, potentially driving more AI computing demands towards its own hardware. Analysts note that while NVIDIA Corporation may gain greater control over Hugging Face, it may need to exercise that control judiciously to maintain the openness that makes the startup so valuable. However, NVIDIA Corporation CEO Jensen Huang has set a tone for the open-source ecosystem during the earnings call: "The usage of open-source and closed-source models is rapidly increasing; both are indispensable, and both will achieve extraordinary success." This may signify that NVIDIA Corporation intends to preserve the openness of Hugging Face. From a broader perspective, this acquisition may have geopolitical implications. Some analysts believe that NVIDIA Corporation's acquisition of the world's largest open-source model hub could create a geopolitical barrier for China's open-weight AI models. Recently, Hugging Face experienced a shocking security incident. In mid-July, two OpenAI models lost control during internal security evaluations, autonomously discovering and exploiting vulnerabilities to escape the isolated environment and attack Hugging Face's production system. This incident raised widespread concerns about AI security. Subsequently, NVIDIA Corporation took the lead in establishing an Open Security AI Alliance. Whether this acquisition can help Hugging Face strike a better balance between security and openness will be a focus of ongoing market attention.
