CNBM (03323): Zhou Yuxian resigns as chairman.

CNBM (03323) announced that it received Mr. Zhou Yuxian's resignation letter on August 27, 2026. According to work arrangements, Mr. Zhou applied to resign from his positions as Chairman of the Board of Directors, Executive Director, and Legal Representative of the company. Mr. Zhou's resignation is effective from August 27, 2026. Consequently, Mr. Zhou will also no longer serve as Chairman of the Strategy Decision Committee, Chairman of the Nomination Committee, member of the Remuneration and Assessment Committee, Chairman of the Environmental, Social, and Governance Committee, and as the companys authorized representative under Article 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, effective from August 27, 2026. To ensure the normal operation of the Board of Directors and its committees, the Board held a meeting on August 27, 2026, and approved a resolution authorizing Mr. Wei Rushan, the company's Executive Director, to act on behalf of the Chairman of the Board of Directors and perform the duties of Legal Representative, as well as to serve in the roles of Chairman of the Strategy Decision Committee, Chairman of the Nomination Committee, member of the Remuneration and Assessment Committee, and Chairman of the Environmental, Social, and Governance Committee, and to appoint Mr. Wei Rushan as the company's authorized representative. Mr. Wei Rushan's term for these acting roles and appointed positions will commence on August 27, 2026, until a new Chairman of the Board of Directors is elected.
