Palo Alto Networks (PANW.US), a cybersecurity company, has been actively seeking large merger and acquisition opportunities in recent years. Recent reports indicate that CEO Nikesh Arora attempted to acquire cloud monitoring and security platform Datadog (DDOG.US) as well as identity verification company Okta (OKTA.US), but negotiations for both deals ultimately fell through. Meanwhile, Palo Alto Networks is still evaluating new acquisition targets and considers areas like AI security as potential avenues for expansion.
According to media reports citing informed sources, Arora held a series of discussions with Okta CEO Todd McKinnon between the end of 2024 and early 2025 to discuss a potential acquisition deal. However, the two sides could not reach an agreement on price, and the negotiations were subsequently terminated.
Had the transaction progressed at that time, it would have indicated Palo Alto Networks' further entry into the identity and access management market. Okta primarily provides identity verification and access management solutions to enterprises, which are somewhat complementary to Palo Alto Networks existing cybersecurity business.
In addition to Okta, Palo Alto Networks also considered Datadog as a potential acquisition target. Reports indicated that Arora met with Datadog CEO Olivier Pomel last spring to discuss the possibility of a deal.
However, Pomel had no interest in selling the company, leading to a lack of further development in their discussions, and Palo Alto Networks ultimately did not make a formal acquisition offer to Datadog.
Following the news, Datadog's stock rose 3% on Wednesday. A spokesperson for Palo Alto Networks stated that the company would not comment on rumors or speculation. Both Datadog and Okta did not provide any comments.
Despite previous unsuccessful attempts to acquire Datadog and Okta, Palo Alto Networks' merger and acquisition expansion strategy has not ceased. Currently, Arora is looking for products and companies that can complement the Chronosphere business.
Palo Alto Networks previously broadened its cloud-native observability business through the acquisition of Chronosphere. Observability primarily helps enterprises monitor the operational status of complex software, cloud computing, and IT infrastructure in real-time, allowing for quick identification of performance and security issues.
Reports suggest that companies potentially aligned with this strategic direction include data infrastructure startup Cribl and database company ClickHouse. Cribl is valued at approximately $3.5 billion, while ClickHouse reached a valuation of about $15 billion following a financing round completed in January of this year.
However, there are currently no indications that Palo Alto Networks has formally made acquisition offers to the aforementioned companies; these companies are more in the realm of potential transactions that Arora is monitoring.
In addition to expanding its product portfolio around Chronosphere, Palo Alto Networks is also assessing potential M&A transactions in the AI security space.
As enterprises rapidly deploy generative AI, AI agents, and related infrastructure, issues such as data breaches, model security, identity verification, and access permissions arising from AI applications are becoming a new growth market in the cybersecurity industry.
For Palo Alto Networks, supplementing relevant technologies through acquisitions can further expand the coverage of its security platform.
Overall, Palo Alto Networks is accelerating its transformation from a traditional cybersecurity vendor to a comprehensive security platform encompassing cloud security, identity management, observability, and AI security by actively seeking large merger and acquisition opportunities in recent years. Although previous attempts to acquire Datadog and Okta were unsuccessful, the company is still on the lookout for new transaction opportunities, with complementary technologies to Chronosphere and AI security becoming key focus areas for its next stage.
