Nexchip Semiconductor Corporation (02249) announced that Ms. Chen Xiaobei intends to resign from her position as a non-executive director of the company's second board of directors and as a member of the boards nomination committee due to work adjustments. To ensure that the board continues to meet gender diversity requirements, Ms. Chen Xiaobeis resignation will take effect upon the election of a new female director at the companys shareholders meeting. Mr. An Guangshi intends to resign from his position as an independent non-executive director, chairman of the boards audit committee, and member of the nomination committee as he is about to complete six consecutive years in his role. His resignation will take effect upon the election of a new independent non-executive director at the companys shareholders meeting, in accordance with relevant laws and regulations. Following the qualification review by the nomination committee, the board recommends (i) appointing Ms. Yang Guoqing as a non-executive director of the company, concurrently serving as a member of the nomination committee; and (ii) appointing Mr. Sheng Mingquan as an independent non-executive director of the company, concurrently serving as chairman of the audit committee and as a member of the nomination committee. Their terms will commence from the date of approval by the shareholders meeting until the end of the term of the second board of directors.
