Ximai Technology (00601) announced that on August 21, 2026 (after trading hours), the company entered into a placement agreement with the placement agent, whereby the company conditionally agreed to issue up to 96 million placement shares at a placement price of HK$0.05 per share (excluding any fees that the subscribers may be required to pay to the Stock Exchange, the SFC, the Central Clearing and Settlement System, and brokerage commissions) to no fewer than six subscribers, all of whom and their ultimate beneficial owners must be independent third parties.
REMT (00601) announced that on August 21, 2026 (after trading hours), the company entered into a placing agreement with the placing agent, under which the company conditionally agrees to place up to 96 million placing shares at a placing price of HK$0.05 per share (excluding transaction fees that may be payable by the placees to the Stock Exchange, transaction levy to the Securities and Futures Commission, share transfer fees to the Central Clearing and Settlement System, and brokerage commissions) to no less than six placees, who and whose ultimate beneficial owners must be independent third parties. The maximum number of placing shares under the placing represents approximately 16.20% of the existing issued share capital of the company of 593 million shares as of the date of this announcement; and approximately 13.94% of the issued share capital of the company after the placing shares have been allotted and issued (assuming no change in the total number of issued shares from the date of this announcement until the completion date). The placing price of HK$0.05 per placing share represents a discount of approximately 19.35% to the closing price of HK$0.062 per share as quoted on the Stock Exchange on August 21, 2026. Assuming all 96 million placing shares are successfully placed, the total proceeds from the placing will be HK$4.8 million, and after deducting the placing commission and other related costs and expenses, the estimated net proceeds from the placing will be approximately HK$4.5 million. Based on this, the net issue price per placing share will be approximately HK$0.047. The board intends to use the net proceeds from the placing for (i) 50% to pay audit and professional fees; (ii) 30% of the net proceeds to pay staff costs; and (iii) the remaining 20% to settle trade payables and other payables.
