ANDRE JUICE (02218) announced that its controlling shareholder, Shandong Yantai North Andre Juice Group Co., Ltd. (hereinafter referred to as "Yantai North Andre Juice Group"), is undergoing a change in its equity structure. This change involves Mr. Wang An, one of the actual controllers of the company, transferring 45% of his shares in Yantai North Andre Juice Group to Ms. Wang Meng, and shareholder Ms. Yang Yuhua transferring 10% of her shares in Yantai North Andre Juice Group to Ms. Wang Shujun. This transfer is part of a change in the equity structure of the controlling shareholder and does not involve transactions of company stocks through a securities exchange. The total number of shares held, the shareholding ratio, and voting rights held by the company's controlling shareholder, actual controllers, and their concerted parties remain unchanged. As of the date of this announcement, Yantai North Andre Juice Group holds 48,608,540 shares of the company, accounting for 14.55% of the total share capital. The shareholding ratio of the company's controlling shareholder and its concerted parties remains unchanged before and after this change. Following this change in the equity structure, the legal representative of the company's controlling shareholder, Yantai North Andre Juice Group, will change from Mr. Wang An to Ms. Wang Meng.
