Zhongyuan Jianye (09982) announced that the conditions precedent set forth in the subscription agreement have been fulfilled, and completion will be implemented in accordance with the terms and conditions of the subscription agreement on August 14, 2026. On the completion date, the company will issue and allot 600 million subscription shares to Subscriber A at a subscription price of HKD 0.09 per share; and (ii) will issue and allot 173 million subscription shares to Subscriber B at the same subscription price of HKD 0.09 per share.
