Zhongji Xuchuang (03308) announced that, based on the recognition of the long-term investment value of Beijing Zhongshi Weiye Technology Co., Ltd. (hereinafter referred to as "Zhongshi Technology" or "the target company"), the company signed a Share Transfer Agreement regarding Beijing Zhongshi Weiye Technology Co., Ltd. with Mr. Wu Xiaoning, Ms. Ye Lu, and Mr. Han Wu on August 13, 2026 (hereinafter referred to as "the transferors"). The company intends to acquire 31,372,500 shares of the target company (unrestricted circulating shares) in cash, which accounts for 10.47% of the total share capital of Zhongshi Technology.

(hereinafter referred to as Jones Tech Plc or the target company), the company signed a Share Transfer Agreement regarding Beijing Zhongshi Weiye Technology Co., Ltd. with Mr. Wu Xiaoning, Ms. Ye Lu, and Mr. HAN WU (hereinafter referred to as the transferors) on August 13, 2026. The company intends to acquire 31,372,500 shares (unrestricted circulating shares) of the target company in cash, representing 10.47% of the total equity of Jones Tech Plc. The transfer price for the shares is 55.70 yuan per share, with a total transfer amount of 1.747 billion yuan. Prior to this transaction, the company did not hold any shares in Jones Tech Plc; after this transaction, the company will hold a total of 31,372,500 shares in Jones Tech Plc, accounting for 10.47% of the total shares of Jones Tech Plc. The company mainly engages in the research, development, production, and sales of high-end optical communication transceiver modules, while Jones Tech Plc primarily focuses on the R&D, production, and sales of high-performance thermal materials and EMI shielding materials. Its products can be widely applied in various segments of digital infrastructure, including 5G communication and next-generation advanced communication, data centers, and computing power centers. In the future, with the continued ramp-up of the companys high-end optical module products such as 800G and 1.6T, the power density will continue to increase, leading to significant growth in cooling demand, which is expected to create strong synergies with the companys business.
