Dipu Technology (01384) announced that prior to the trading session on the Hong Kong Stock Exchange on August 13, 2026, the company entered into a placing agreement with the placing agent, intending to place 14.286 million new H shares to no fewer than 6 independent subscribers at a placing price of HK$35.00 per H share. Assuming all placing shares are fully placed, the fundraising amounts to approximately HK$500 million, with net proceeds of about HK$487.5 million.

Assuming all placement shares are fully placed, the fundraising is expected to be approximately HK$500 million, with net proceeds of about HK$487.5 million.
The net proceeds from the placement will be used for: (i) approximately 70% to further support technological iteration R&D, product and service capability innovation, and construction of enterprise AI employee infrastructure and token productivity platforms; (ii) approximately 20% to prudently seek strategic investment and acquisition opportunities that have synergistic effects with the group's core business and development strategy; and (iii) approximately 10% to supplement working capital and for general corporate purposes.
The announcement stated that the group will further upgrade the DeepWorks enterprise intelligent agent platform in the first half of 2026, integrating cloud service capabilities and edge application abilities to transform it into an AI gateway for daily corporate operations. To support the ongoing operation, functional iteration, and customer application deployment of this platform, the group needs to continuously invest in cloud service resources. Meanwhile, with the increasing demand from corporate clients for the large-scale deployment of AI intelligent agents, the group needs to increase the procurement or leasing of computing power resources to support the training, fine-tuning, and inference of self-developed enterprise large models, the execution of complex tasks by intelligent agents, and the continuous development of AI-level enterprise operating systems. The group also needs to recruit and retain R&D personnel with expertise in large model algorithms, intelligent agent architecture, data intelligence, and software development to accelerate the iteration and R&D of related products and technologies. Therefore, the board believes it is necessary for the company to timely allocate the aforementioned talent, cloud services, and computing power resources within the current market window to enhance the performance, scalability, and large-scale deployment capability of related products and solutions.
In addition, the large-scale deployment of AI intelligent agents requires the integration of model and agent technologies, enterprise data and knowledge, industry skills and solutions, customer and channel resources, and implementation delivery capabilities. Strategic investments or acquisitions in suitable targets that possess complementary product or technology capabilities, enterprise data and industry skills, mature industry solutions, customer and channel resources, or delivery service capabilities can help the group accelerate the supplementation of relevant capabilities when suitable opportunities arise, thereby shortening the development, commercialization, and industry implementation cycles of related products and solutions. Therefore, the company believes it is necessary to retain appropriate funds to prudently seek strategic investment and acquisition opportunities that have synergistic effects with the group's existing business.
