PENGO HLDG GP (01865) announced that on August 10, 2026 (after trading hours), the company entered into subscription agreements with three subscribers, whereby the company has conditionally agreed to allot and issue subscription shares, and the subscribers have conditionally agreed to subscribe for the subscription shares at a price of HK$0.34 per share. The subscribed shares include a total of 147 million new shares. Assuming the issued share capital of the company remains unchanged from the date of this announcement until completion, the subscribed shares will represent approximately 11.4% of the existing issued share capital of the company as of the date of this announcement and approximately 10.3% of the expanded issued share capital of the company after the allotment and issuance of the subscription shares. The subscription price of HK$0.34 per share represents a discount of approximately 16.0% compared to the closing price of HK$0.405 per share reported on the Stock Exchange on August 10, 2026. Assuming all subscription shares are fully subscribed, the total amount of funds raised from the subscription will be approximately HK$50.1 million, and the net proceeds from the subscription (after deducting other related expenses) will be approximately HK$50 million. The company intends to (i) use approximately 80% of the net proceeds to repay the groups trade payables and other payables; and (ii) use approximately 20% of the net proceeds to supplement the groups general working capital.
