Suzhou Yizhong Venture Capital Partnership (Limited Partnership) (holding 7,949,909 shares of the company), Suzhou Xiangzhong Venture Capital Partnership (Limited Partnership) (holding 1,140,004 shares), Nanjing Xiangzhong Venture Capital Partnership (Limited Partnership) (holding 285,001 shares), Zhuhai Jinyiming Equity Investment Fund Partnership (Limited Partnership) (holding 2,850,001 shares), Guangzhou Hanshuai Venture Capital Partnership (Limited Partnership) (holding 1,000,000 shares), and Shanghai Yipu Enterprise Management Co., Ltd. (holding 500,000 shares) (collectively referred to as "the said shareholders") have pledged that from the expiration date of the original lock-up period until August 7, 2026 (inclusive), they will not reduce their holdings of the companys shares in any manner ("the first lock-up period extension").
Recently, the company has received voluntary commitment letters from the said shareholders. Based on their high recognition of the company's comprehensive operating strength, mature operating system, and core management team, as well as their continued optimism about the long-term development potential and growth space of the consumer sector in which the company operates, these shareholders voluntarily commit to the company that from the expiration date of the first lock-up period extension (i.e., August 7, 2026) until November 7, 2026 (inclusive), the quantity of shares they individually reduce during the aforementioned period (if any) will not exceed the following numbers: Suzhou Yizhong Venture Capital Partnership (Limited Partnership) (no more than 1,987,477 shares), Suzhou Xiangzhong Venture Capital Partnership (Limited Partnership) (no more than 285,001 shares), Nanjing Xiangzhong Venture Capital Partnership (Limited Partnership) (no more than 71,250 shares), Zhuhai Jinyiming Equity Investment Fund Partnership (Limited Partnership) (no more than 940,500 shares), Guangzhou Hanshuai Venture Capital Partnership (Limited Partnership) (no more than 250,000 shares), and Shanghai Yipu Enterprise Management Co., Ltd. (no more than 150,000 shares). Accordingly, the total number of shares that these shareholders may reduce during the aforementioned period will not exceed 3,684,228 shares, accounting for approximately 3.50% of the total number of shares issued by the company as of the announcement date.
To eliminate any doubts, Shanghai Puhai Enterprise Management Co., Ltd. (holding 47,090,996 shares), Shanghai Senrui Enterprise Management Partnership (Limited Partnership) (holding 18,293,400 shares), Shanghai Yuchao Enterprise Management Partnership (Limited Partnership) (holding 17,210,725 shares), Shanghai Yuyun Enterprise Management Partnership (Limited Partnership) (holding 1,449,978 shares), and Shanghai Yuhong Enterprise Management Partnership (Limited Partnership) (holding 1,449,978 shares) have also committed not to reduce their holdings of the companys shares in any manner from the expiration of the original lock-up period until November 7, 2026 (inclusive), and this commitment remains unchanged.
The company believes that the extension of the lock-up period indicates that these shareholders are confident in the companys future prospects and long-term value. These shareholders will continue to monitor the company's operational performance and will, in due consideration of the company's operational development and the overall performance of the capital market, decide on share reduction operations at their discretion.
