GUOTAI JUNAN I (01788) receives a premium of approximately 44.2% from Guotai Haitong (02611) for privatization and will resume trading on August 10.
Guotai Junan International (01788) and the offeror Guotai Haitong Financial Holdings Co., Ltd. jointly announced that on July 22, 2026, the offeror has requested the board of directors (subject to the fulfillment of precedents) to present a proposal to the planned shareholders, and if the proposal is approved and implemented, the company will be privatized through a scheme arrangement in accordance with Section 673 of the Companies Ordinance, and the listing of its shares on the Hong Kong Stock Exchange will be canceled.
GUOTAI JUNAN I (01788) and the Offeror Guotai Haitong Financial Holdings Limited jointly announced that on July 22, 2026, the Offeror has requested the Board (subject to the fulfillment of preconditions) to present a proposal to the shareholders, which, if approved and implemented, will result in the Company being privatized through a scheme of arrangement under Section 673 of the Companies Ordinance, and the cancellation of the listing status of its shares on the Hong Kong Stock Exchange.
The cancellation price for each scheme share is HKD 3.00 (minus any dividend adjustments, if applicable), representing a premium of approximately 44.2% over the closing price of HKD 2.08 per share on the last trading day on the Hong Kong Stock Exchange. The Company has applied to the Hong Kong Stock Exchange to resume trading of its shares at 9:00 a.m. on August 10, 2026.
As of the date of this joint announcement, (1) the issued shares amount to approximately 9.53 billion shares, of which about 3.285 billion shares (including 800 million borrowed shares) will constitute the scheme shares, accounting for about 34.47% of the Company's issued share capital; and (2) the unexercised options amount to 4.85 million. Based on the cancellation price of HKD 3.00 per scheme share and the full acceptance of the option offer, the implementation of the proposal will require approximately HKD 9.861 billion in cash. The Offeror, Guotai Haitong, and the persons acting in concert with the Offeror hold approximately 6.3136 billion shares, representing about 66.25% of the Companys issued share capital.
It is understood that the Offeror is a wholly-owned subsidiary of Guotai Haitong (02611), whose main businesses include wealth management, investment banking, institutional and trading services, investment management, and financial leasing. Guotai Haitong does not have any controlling shareholders.
