American pipeline operator Williams Companies (WMB.US) has reached an agreement to acquire Momentum Midstream LLC with a transaction value of up to $5.5 billion.
U.S. pipeline operator Williams Companies, Inc. (WMB.US) has reached an agreement to acquire Momentum Midstream LLC from private equity firm EnCap Flatrock Midstream for a transaction valued at up to $5.5 billion, thereby expanding its natural gas network along the U.S. Gulf Coast.
According to a statement released on Monday, Williams will pay $3.5 billion in cash and debt consideration, along with approximately $2 billion in stock for the acquisition.
This marks one of Williams' largest acquisitions, further consolidating its absolute dominance in the resource-rich Haynesville shale region in East Texas and northern Louisiana. Against the backdrop of soaring global demand, U.S. pipeline operators have been seeking to secure their positions as a wave of liquefied natural gas (LNG) export terminals comes online.
Houston-based Momentum Midstream operates a 4,000-mile (approximately 6,400 kilometers) pipeline system with a daily delivery capacity of 6 billion cubic feet of gas, connecting the Haynesville area to LNG facilities, power plants, and industrial customers along the Gulf Coast.
The statement noted that alongside this acquisition, Williams also announced a $1.5 billion Delta Access expansion project along its Transco natural gas pipeline network, as well as the Shelby Trough Connector project to expand its Louisiana Energy Gateway system.
Williams reported second-quarter results that exceeded analysts' expectations on Monday, with its stock rising approximately 1.9% following the New York trading session. The financial report showed that the company achieved Q2 revenue of $3.05 billion, a year-over-year increase of 9.7%, surpassing expectations by $200 million; adjusted earnings per share were $0.50, in line with expectations.
Media reports in June indicated that Williams was in advanced negotiations to acquire Momentum Midstream at the time.
Despite President Trumps strong push to expand U.S. Energy Corp.'s infrastructure, newly constructed pipelines continue to face numerous legal challenges and lengthy federal permitting processes. These obstacles make M&A an increasingly attractive way for pipeline operators to expand their networks.
Through the acquisition of Momentum, Williams, which already possesses over 30,000 miles of pipeline infrastructure, will gain additional transport capacity to move gas from the Haynesville region to export terminals along the U.S. Gulf Coast.
As the world's largest LNG exporter, the U.S. is expected to see its international export volume roughly double by the end of the decade following the launch of several new terminals in Texas and Louisiana.
With the construction of these massive facilities that hold political strategic significance for GEO Group Inc, there will be increasing pressure on pipelines transporting gas from the Haynesville area, which is the closest major producing basin to the Gulf of Mexico.
