INKEVERSE (03700) completed the issuance of a total of 192 million subscription shares.

INKEVERSE (03700) announced that all pre-conditions under the subscription agreement have been met. Partial completion was implemented on July 2, 2026, and the company has issued a total of 192 million subscription shares to the six subscribers. Regarding the remaining 195 million subscription shares, as the remaining subscribers require more time to complete the relevant administrative procedures, the company has entered into supplemental agreements with three of the remaining subscribers, whereby they have agreed to complete the process no later than July 15, 2026, or at any other time and/or date as mutually agreed in writing. The board of directors happily announces that the relevant administrative procedures for the remaining subscribers have been completed. The remaining subscription agreements were completed on July 15, 2026, and the remaining 195 million subscription shares have been issued to the remaining subscribers. As of the date of this announcement, the company has successfully issued a total of 387 million subscription shares in two batches, equivalent to (i) approximately 20% of the company's issued shares before the issuance of the first batch of subscription shares (i.e., partial completion) and (ii) approximately 16.67% of the company's issued shares after the issuance of all subscription shares. After deducting related expenses, the net proceeds from the completion amount to approximately HK$328 million. The company intends to use the net proceeds to acquire high-performance GPUs to establish and expand the group's GPU computing infrastructure, as well as for general operating expenses of the group's GPU computing infrastructure and for the daily administrative expenses of the group's overseas team.
