Shanghai Pharmaceuticals (02607) announced that the company's controlling shareholder Shanghai Industrial (Group) Co., Ltd. (Shanghai Industrial Group) plans to increase its holding of the company's H shares through its wholly-owned subsidiary Shanghai International Investment Co., Ltd. (Shanghai International) through the Hong Kong Stock Exchange system by centralized bidding starting from September 15, 2025, for a period of 12 months, based on confidence in the future development of Shanghai Pharmaceuticals. The increase in shareholding percentage shall not exceed 2% of the company's issued shares with voting rights. This plan is referred to as the "Shareholding Increase Plan" (details can be found in the company announcement 2025-083).
Shanghai Pharmaceuticals Holding (02607) announces that its controlling shareholder Shanghai Industrial (Group) Co., Ltd. (Shanghai Industrial Group) plans to increase its holdings of the company's H shares through its wholly-owned subsidiary Shanghai International Investment Co., Ltd. (Shanghai International) through the Hong Kong Stock Exchange's trading system through centralized bidding starting from September 15, 2025 for a period of 12 months, with a maximum increase of up to 2% of the voting shares of the company (see the company announcement No. 2025-083 for details, hereinafter referred to as "this increase plan").
Since the disclosure of this increase plan, as of June 29, 2026, Shanghai Industrial Group has completed the planned increase in the company's H shares. During this increase period, Shanghai Industrial Group increased its holdings of the company's H shares by a total of 74 million shares through Shanghai International, accounting for approximately 8.052% of the total number of issued H shares (9.19 billion shares) and 1.995% of the total number of issued shares (37.08 billion shares). After the completion of this increase plan, Shanghai Industrial Group and its concerted parties hold and control approximately 1.5 billion shares of the company, accounting for approximately 40.456% of the total number of issued shares of the company; among them, the holding and control of H shares are 374 million shares, accounting for approximately 40.741% of the total number of issued H shares of the company and 10.097% of the total number of issued shares. During this increase period, Shanghai Industrial Group did not reduce its holdings of the company's shares.
