NEUTECH GROUP (09616): Neutech Health, Neutech Cloud, and registered shareholders enter into variable equity entity agreements.

NEUTECH GROUP (09616) announced that on July 1, 2026, Rui Xin Health, Rui Xin Cloud, and registered shareholders entered into a contingent equity entity agreement to provide operational internet information services to third-party suppliers and clients in China through a smart city elderly care platform. This contingent equity entity agreement allows the group to: receive all economic benefits from Rui Xin Cloud for services provided to Rui Xin Health, exercise effective control over Rui Xin Cloud, and hold exclusive subscription rights to purchase all or part of the equity held by registered shareholders in Rui Xin Cloud. After entering into the contingent equity entity agreement, the financial performance of Rui Xin Cloud will be consolidated into the comprehensive financial statements of the group, and Rui Xin Cloud will become a wholly-owned subsidiary of the company.
