HONBRIDGE (08137) announced that on June 28, 2026, the company entered into a subscription agreement with Hongqiao Capital. According to the agreement, Hongqiao Capital has conditionally agreed to subscribe for shares at a subscription price of HK$0.37 per share, and the company has conditionally agreed to issue and issue 2.426 billion shares. The subscription price of HK$0.37 per share represents a discount of approximately 36.21% to the closing market price of HK$0.58 per share on the last trading day at the Stock Exchange. The number of subscription shares is equivalent to: (a) about 16.67% of the existing issued share capital of the company as of the date of this announcement; and (b) about 14.29% of the enlarged issued share capital of the company after the completion of the subscription (assuming that the total number of issued shares will not change from the date of this announcement to the completion date, except for the issuance of subscription shares). The total amount raised from the subscription will be HK$898 million, while the estimated net proceeds from the subscription (after deducting relevant legal and advisory fees) will be approximately HK$895 million. The company intends to use approximately HK$402 million of the net proceeds from the subscription to pay for the acquisition, approximately HK$468 million for the operation and development of mineral-related projects and investment in such projects, and the remaining approximately HK$25 million for general operating funds of the group.
