According to the subscription agreement, the management has agreed to reinvest a portion of the proceeds from the acquisition into the share capital of EuroEyes Netherlands. The management's total fixed reinvestment amount is 10.65 million euros, with the management reinvesting as follows: (1) Rens Schoenmakers reinvests 4.5 million euros; (2) Frank Kerkhoff reinvests 4.5 million euros; (3) Niels de Wild reinvests 1.1 million euros; and (4) Leonie Claes reinvests 550,000 euros.
As per the subscription agreement, and after discussions with the management, the surgeons employed by the target group have been offered the opportunity to reinvest a portion of the proceeds from the acquisition into the share capital of EuroEyes Netherlands. The investment amount for each surgeon ranges from 50,000 to 500,000 euros. Assuming all surgeons exercise this reinvestment opportunity, they will reinvest up to a total of 10 million euros into EuroEyes Netherlands.
The completion of the subscription is conditional upon the completion of the acquisition, which is expected to take place on or around the completion of the acquisition. Following the completion of the acquisition and the subscription, EuroEyes Netherlands will continue to be a subsidiary of the company.
As of the date of this announcement, EuroEyes Netherlands is wholly owned by the company. Assuming the completion is expected to take place on July 15, 2026, the estimated consideration will be approximately 130.5 million euros, the total investment made by the company in EuroEyes Netherlands will be 109.85 million euros. Assuming all surgeons exercise the reinvestment opportunity, the total issue price payable for the subscription shares will be 20.65 million euros.
After the completion of the subscription, assuming an estimated consideration of approximately 130.5 million euros and all surgeons exercising the reinvestment opportunity, along with the fixed reinvestment amount by the management, the total reinvestment amount will be 20.65 million euros, and the issued share capital of EuroEyes Netherlands will be owned approximately 84.18% by the company and 15.82% by Manco.
Upon or around the completion of the subscription in accordance with the subscription agreement, the company, EuroEyes Netherlands, Manco, and STAK will enter into a shareholders agreement to regulate the management of EuroEyes Netherlands.
