HONY MEDIA (00419) completes the subscription agreement I and terminates the subscription agreement II.

HONY MEDIA (00419) announces that, as all the conditions precedent set out in Subscription Agreement I have been fulfilled, the completion has been implemented in accordance with the terms and conditions of Subscription Agreement I on June 15, 2026. A total of 113 million subscription shares (equivalent to (i) approximately 7.59% of the total issued share capital of the Company before the completion of the subscription matters under Subscription Agreement I; and (ii) approximately 7.06% of the total issued share capital of the Company after the issuance and issuance of subscription shares under Subscription Agreement I) have been issued and allotted to subscriber I at the subscription price of HK$0.40 per share in accordance with the general mandate. The Board hereby announces that, after fair negotiation, subscriber II and the Company have entered into a Termination Agreement (Termination Agreement) to terminate Subscription Agreement II on June 15, 2026 (after trading hours). Pursuant to the Termination Agreement, the parties to Subscription Agreement II shall release and discharge their respective responsibilities under Subscription Agreement II, and neither party shall make any claims against the other party regarding any matters arising from or related to Subscription Agreement II.
