ZYY (08223) Announcement: Mr. Chen Zhifeng (Mr. Chen) has resigned as an independent non-executive director of the company, effective from June 12, 2026, due to the need to dedicate more time and energy to other work. The Board of Directors is pleased to announce that Mr. Yang Kun (Mr. Yang) has been appointed as an independent non-executive director of the company, effective from June 12, 2026. The Board hereby announces that from June 12, 2026, (i) Mr. Chen will no longer serve as the chairman of the Audit Committee, a member of the Remuneration Committee, and a member of the Nomination Committee after resigning as an independent non-executive director; (ii) Mr. Yang Kun has been appointed as the chairman of the Audit Committee; and (iii) Mr. Hu Tao has been appointed as a member of the Nomination Committee and a member of the Remuneration Committee.
