UBOX ONLINE (02429) Announcement of the Strategic Cooperation Agreement with Shanghai Luoshidaer Smart Chain Technology Co., Ltd. (Strategic Partner) on May 22, 2026 (after trading hours), the Company has entered into a strategic cooperation agreement with Shanghai Luoshidaer Smart Chain Technology Co., Ltd. (Strategic Partner). Under this agreement, the contracting parties agree to establish a strategic cooperation relationship, focusing on expanding the Group's unmanned retail business by developing a sales network in mainland China. According to the strategic cooperation agreement, the contracting parties agree to cooperate in establishing and operating a platform called "U Smart Vend Chain Alliance" ("U Smart Vend Chain Alliance"). This platform aims to facilitate cooperation and coordination among participants (including but not limited to owners, operators, suppliers, promoters, and other industry participants in the intelligent vending machine industry). Under the strategic cooperation agreement, the strategic partner will be primarily responsible for the design, development, and operation of the U Smart Vend Chain Alliance, including developing a blockchain-based data recording system, smart contract or rule engine system, and related management systems. The strategic partner and other participants in the U Smart Vend Chain Alliance will also participate in the promotion of the platform, including recommending vending machine owners to the Group. The Company will mainly be responsible for the operational and fulfillment aspects of the partnership, including providing operational and management services for the vending machines and smart cabinets introduced through the U Smart Vend Chain Alliance. It is expected that the Group will act as the exclusive operational service provider for vending machine owners who have entered into partnership contracts with the Group under the strategic cooperation agreement. The U Smart Vend Chain Alliance plans to use blockchain and Internet of Things (IoT) technologies to record and verify operational data generated by smart vending machines and smart cabinets associated with the alliance, including transaction flow, inventory, and device operating data. Based on this operational data and contribution records, "U coins" can be generated according to applicable platform rules (called the "U Smart Vend Chain Alliance White Paper"). Only vending machines or smart cabinets that meet certain sales performance benchmarks are eligible to become valid points for earning U coins. Participants can use U coins to redeem products or services available for exchange within the platform. U coins are not intended to constitute virtual assets, financial products, or publicly tradable instruments. The initial term of the strategic cooperation agreement is 3 years, and may be renewed by mutual agreement of the contracting parties. The Board believes that the intelligent vending machine industry is transitioning from traditional single operational models to more ecological and collaborative operational models. The Board believes that the integration of blockchain and IoT technologies may enhance the operational transparency, ecological synergy, and participation in the unmanned retail industry. The Board further believes that U Smart Vend Chain Alliance, through the application of blockchain and IoT technologies, may enhance transparency and coordination among participants, while encouraging vending machine owners and other participants to join the platform through contribution-based participation arrangements.
