According to informed sources, Elon Musk's space exploration technology company SpaceX plans to proceed with the acquisition of the artificial intelligence (AI) coding startup Cursor 30 days after completing its public listing. Previously, reports indicated that SpaceX will officially submit its initial public offering (IPO) application this Wednesday, and will officially list on Nasdaq on June 12th. If everything goes according to plan, SpaceX hopes to complete the acquisition of Cursor in July. It has been reported that if this deal falls through, SpaceX will need to pay a reverse breakup fee of $10 billion to Cursor.
SpaceX has completed the process of submitting for a private listing, with plans to raise up to $75 billion and surpass a valuation of $2 trillion, setting a record for the largest IPO in global history once completed. The acquisition of Cursor will enhance SpaceX's AI coding capabilities.
In April, SpaceX announced loudly that it had the right to acquire the AI coding startup Cursor later this year for $60 billion, or pay $10 billion to collaborate, in order to catch up with competitors in the field of AI coding.
At that time, SpaceX posted on X announcing the deal, stating that the two companies "are now working closely together to create the world's best coding and knowledge working artificial intelligence." The transaction may still need regulatory approval.
Reportedly, SpaceX did not immediately acquire Cursor at that time, due to the upcoming IPO.
Before announcing the Cursor deal, SpaceX merged with Musk's AI company xAI. Musk had said that xAI lagged behind peers in coding tools and vowed to rebuild the company from scratch. He has been searching for engineering talent and had previously poached talent from Cursor.
Cursor's AI assistant was launched in 2023, aiming to help programmers code and debug more efficiently. With the increasing demand from software developers for AI coding tools, Cursor has become one of the fastest-growing startups in history, playing a core role in the "Vibe Coding" era in the tech industry. The core concept of "Vibe Coding" is to communicate with artificial intelligence in natural language, focusing on expressing creativity and needs without manually writing or deeply understanding underlying code.
Cursor released its latest AI coding model, Composer 2.5, on Monday. This model is partially trained using the xAI data center Colossus 2.
Cursor CEO Michael Truul released an article on the X platform, stating that the AI model is "the beginning of our collaboration with SpaceX and xAI." He wrote, "Hoping to roll out more improved versions soon."
