Shenzhen New Nanshan Holding (002314.SZ) plans to acquire and transfer equity and debt of its joint ventures and their subsidiaries to optimize business layout.
Nanshan Holdings (002314.SZ) announced that Wuhan Panlong intends to acquire 49% equity and corresponding debt of Wuhan Nanshan Huazhong held by Wuhan Xuyi Investment Industry Co., Ltd., a wholly-owned subsidiary of Fujian Zongheng Investment Industrial Group Co., Ltd. (hereinafter referred to as "Fujian Zongheng"), for a transaction price of 266.88 million yuan.
Shenzhen New Nanshan Holding (002314.SZ) announced that Wuhan Panlong plans to acquire 49% equity and corresponding debt rights of Wuhan Nanshan Huazhong held by Wuhan Xuyi, a wholly-owned subsidiary of Fujian Zongheng Investment Industry Group Co., Ltd. (hereinafter referred to as "Fujian Zongheng"), for a transaction price of 266.88 million yuan.
Wuhan Panlong plans to acquire 49% equity and corresponding debt rights of Fujian Nanshan Zongheng held by Fujian Xuyi, a wholly-owned subsidiary of Fujian Zongheng, for a transaction price of 175.79 million yuan.
Wuhan Nanshan Huazhong and Fujian Nanshan Zongheng plan to transfer 100% equity and related debt rights of Fujian Guangyang through public listing, with a base price of 431.96 million yuan. The specific transaction price will be determined based on the results of the public listing auction.
The above transactions are part of a package deal. If the 100% equity and related debt rights of Fujian Guangyang cannot be successfully transferred through public listing, the transactions of Wuhan Panlong acquiring 49% equity and debt rights of Wuhan Nanshan Huazhong, and Fujian Nanshan Zongheng will be terminated.
After the completion of the above transactions, Nanshan Real Estate will indirectly hold 100% equity of Wuhan Nanshan Huazhong and Fujian Nanshan Zongheng through Wuhan Panlong, and will no longer hold equity of Fujian Guangyang.
The proposed acquisitions and transfers of equity and debt rights of joint ventures and their subsidiaries aim to systematically integrate and optimize the company's real estate projects through a package deal, revitalize existing assets, and optimize business layout.
