HUSCOKE HLDGS (00704) announced that on April 24, 2026, the company received a legal demand letter from the legal representative of Amber Financial Services Group Limited (Amber), requesting the company to make a payment of approximately 700,000 Hong Kong dollars within 21 days from the date of service of the legal demand letter, including unpaid principal of about 400,000 Hong Kong dollars; related interest of over 300,000 Hong Kong dollars; fixed filing fees, and the final judgment of the regional court. The above-mentioned amount involves a matter reported to the police, with the following specifics: There is a dispute over the amount claimed, arising from fees for financial printing and related services provided by Amber to the company during the period from 2022 to 2023, as well as related overdue interest. In January and February 2024, a director and company secretary of the company repeatedly received harassment from a man claiming to be the Chief Financial Officer of Amber, including sending harassing emails to the directors, constantly making harassing phone calls to the company secretary with threatening language, sending emails, and collecting personal information of the directors and company secretary for intimidation. The director and company secretary reported to the police four times in January and February 2024. The company believes that the above actions, involving intimidation and improper collection of personal information of the company's directors and employees, constitute criminal offenses and go beyond normal discussions of financial disputes between companies, therefore the company believes that the alleged criminal issues raised in the police reports should be resolved first before negotiating the payment amount. Meanwhile, the management of the company will challenge the validity of the legal demand letter within the 21-day period, and will communicate and negotiate with Amber to resolve the dispute. The board of directors believes that the amount claimed, in absolute terms, will not have any significant adverse impact on the company's daily operations and business, and questions the validity of the legal demand letter. Therefore, the board of directors believes that it does not constitute insider information that requires disclosure under Rule 13.09 of the Listing Rules of The Stock Exchange of Hong Kong Limited ("Listing Rules") and Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong). The Listing Division of the Stock Exchange called the company claiming to have received a copy of the legal demand letter, and requested the company to make this voluntary announcement. The company will make further announcements or disclosures in accordance with the Listing Rules regarding the legal demand letter in due course.
