GIORDANO INT'L(00709): Zheng Zhiwen appointed as Chairman of the Board
Esprit Holdings Limited (00709) announces that, effective from April 27, 2026: (a) Non-executive director Ms. Zheng Zhiwen is appointed as Chairman of the Board, Chairman of the Nomination Committee, and member of the Remuneration Committee; (b) Non-executive director Mr. Zeng Anye resigns as Chairman of the Board and Chairman of the Nomination Committee, but remains a member of the Nomination Committee; (c) Former executive director Mr. Li Zhixuan is transferred to non-executive director and no longer a member of the Management Committee; (d) Independent non-executive director Mr. Huang Weide is appointed as a member of the Remuneration Committee; (e) Independent non-executive director Mr. Zhou Guorong is appointed as a member of the Nomination Committee.

(a) Ms. Zheng Zhiwen, a non-executive director, has been appointed as the Chairman of the Board, Chairman of the Nomination Committee, and a member of the Remuneration Committee;
(b) Mr. Zeng Anye, a non-executive director, has resigned as the Chairman of the Board and Chairman of the Nomination Committee, but will remain as a member of the Nomination Committee;
(c) Mr. Lee Zhi Xuan, the former executive director, has been transferred to a non-executive director position and will no longer serve as a member of the Management Committee;
(d) Mr. Wong Wai Tak, an independent non-executive director, has been appointed as a member of the Remuneration Committee;
(e) Mr. Zhou Guorong, an independent non-executive director, has been appointed as a member of the Nomination Committee.
