Xingjiao RV (00805) issued an announcement that, as disclosed in the previous announcement, the delay in publishing the full-year performance of 2025 was due to the fact that, as of March 31, 2026, the Company had not yet received a timely formal reply from the Australian office of PricewaterhouseCoopers (the auditor of the Company's Australian registered subsidiary).
NEW GONOW RV (00805) Announcement: As previously disclosed in the announcement, the delay in publishing the full-year performance for 2025 is due to the fact that as of March 31, 2026, the company has not yet received a timely formal response from the Australian office of KPMG, the registered auditor of the company's subsidiary in Australia. Therefore, KPMG (the company's independent auditor) is unable to complete all necessary audit procedures for the full-year performance of 2025. Specifically, as of March 31, 2026, due to KPMG Australia not completing the audit work related to revenue and certain audit documents, KPMG has not received the interoffice report from KPMG Australia. This is because KPMG Australia needs more time to review additional information and documents in the final stage of the audit than initially expected, resulting in time constraints. The audit work conducted by KPMG Australia covers the financial information of the company's indirect wholly-owned subsidiary Regent RV Pty Ltd (Regent) and its three other subsidiaries. Regent and its three subsidiaries (four out of the five subsidiaries which significantly impact the group's performance, assets, or liabilities) are expected to incur a net loss of approximately RMB 9.2 million for the fiscal year ending December 31, 2025 and contribute approximately RMB 550.9 million to the group's total assets as of December 31, 2025. Despite the delay, as of March 31, 2026, and up to the date of this announcement, the company has not been informed by KPMG of any potential audit matters or suspected transactions that could lead to an adverse opinion, nor has the company been informed of any expected adverse opinions to be issued. After providing all requested supplementary information, explanations, and documents, as of the date of this announcement, KPMG Australia has largely completed the remaining work and audit documents. KPMG is conducting a final review of the work papers of the component auditor and will strive to complete all necessary audit procedures in a timely manner. Therefore, the company will need more time to prepare the announcement on the full-year performance of 2025 and will make every effort to publish it by April 30, 2026. The company hereby reiterates that the group's business operations remain normal.
