Prior to this, regulatory authorities in the UK had sought opinions on the impact of this transaction on UK consumers. The Competition and Markets Authority (CMA) of the UK stated that seeking comments is the initial step in reviewing the transaction before conducting a formal investigation, "We expect to launch the first phase of the investigation in the coming weeks.
In February, Paramount Sky won the bidding war against Netflix (NFLX.US) with a higher offer for Warner Bros. Discovery. This transaction will create a huge media empire. The merged company will control two major movie studios (Paramount and Warner Bros.), two streaming services (Paramount+ and Warner's HBO Max), two news networks (CNN and CBS), and dozens of cable TV channels.
However, regulatory obstacles may come at a high cost for Paramount Sky. The company has agreed to pay a termination fee of $7 billion if regulatory authorities block the transaction, as well as "deferred consideration" of $0.25 per share per quarter if the transaction is not completed after September 30. Previously, Paramount Sky had already paid Warner Bros. $2.8 billion as a "breakup fee."
A spokesperson for the CMA stated, "The film and television industry contributes billions of pounds to our economy, so it is necessary for us to assess whether the transactions between studios will harm competition." Relevant stakeholders can submit their comments to the CMA by April 27.
