R&F PROPERTIES (02777) announces that Mr. Zheng Ercheng has resigned as an independent non-executive director of the company due to the need to devote more time and energy to other matters. His resignation will take effect after the company's annual general meeting on May 29, 2026. After his resignation, he will no longer serve as a member of the company's audit committee, remuneration committee, or nomination committee. The Board proposes the appointment of Mr. Zhou Aihua as an independent non-executive director of the company, with effect from the conclusion of the annual general meeting of shareholders. This appointment must be approved by shareholders at the annual general meeting. The Board also proposes (i) that Mr. Wu Youhua, an independent non-executive director and member of the remuneration committee, be appointed as the chairman of the remuneration committee after Mr. Zheng Ercheng's resignation, and (ii) that Mr. Zhou Aihua be appointed as a member of the audit committee, remuneration committee, and nomination committee after being appointed as an independent non-executive director of the company at the annual general meeting of shareholders.
