BRAINAURORA-B (06681) Announcement: The company has recently entered into a strategic cooperation agreement with Tokyo Lifestyle Co., Ltd. (Tokyo Lifestyle or the "Partner"). Both parties will focus on the deep integration of cognitive impairment digital therapy and functional health products, and jointly explore an integrated platform model in Japan and Southeast Asia, aiming to build an AI digital health platform for the elderly. Both parties agree to combine the cognitive impairment digital therapy products of the Group (including cognitive screening, assessment, and training systems) with Tokyo Lifestyle's high-quality functional health products, and jointly promote an innovative service model of "product and service rights combination" in Japan and Southeast Asia, providing users with comprehensive health services from screening and assessment to intervention and follow-up. The core goal of the cooperation is to build an AI digital health platform for the elderly, establishing a cognitive health service system covering screening, prevention, training, intervention, and nutritional support. To rapidly promote the landing and operation of the AI digital health platform, the Group is expected to invest approximately HK$15 million in manpower, equipment, systems, and other aspects by 2026. The platform is expected to officially start operating in the second quarter of 2026 and contribute revenue. Subsequently, further business expansion will be considered based on the progress of the business and collaboration with the Partner. Pioneering a new integrated platform model of "digital therapy + functional health products" This cooperation represents a deep cross-border integration of digital therapy and health consumer products, exploring an innovative path of "online cognitive testing and training rehabilitation + organic combination of offline functional health products". This model not only enriches the means of cognitive impairment intervention but also provides new scenarios and possibilities for the commercialization of digital therapy. Empowering AI language models to address the global aging challenge Through the deep application of multimodal language models, the platform can provide personalized health management services to each user in the form of a "digital health assistant". This technology-driven proactive health management model can extend professional cognitive health services to communities and families in a more cost-effective and accessible way, helping to achieve the goal of "early screening, early intervention, early benefit" for healthy aging. Building a complete health management loop across the entire life cycle From daily nutritional supplementation with functional health products, to cognitive training with digital therapy, and to the integrated service delivery of Wuxi Online Offline Communication Information Technology Co., Ltd., this cooperation bridges multiple key nodes in the health management of the elderly, truly realizing a closed-loop management of prevention, intervention, recovery, and support, providing continuous health care coverage across the entire life cycle for elderly users. Deepening international layout and expanding the Asia-Pacific market Japan and Southeast Asia are important markets for the Group's global strategy. This cooperation is another important strategic move for the Group in the Asia-Pacific region after entering the Singapore and Malaysia markets. By leveraging Tokyo Lifestyle's mature channel networks in Japan and Southeast Asia, the Group will further deepen its international layout, enhance brand influence, and expand commercial network coverage, laying a solid foundation for future expansion in other Asia-Pacific markets. The Board of Directors believes that this strategic cooperation aligns with the Group's long-term development strategy and will help the Group strategically migrate its validated product capabilities, deep in-hospital operation experience, and systematic delivery system in China to regions with different regulatory frameworks, payment systems, and market structures. Through complementary advantages with Tokyo Lifestyle, the Group is expected to build a more profitable overseas business model, creating long-term value for shareholders.
