It is reported that Ningbo Deye Technology (605117.SH) submitted its listing application to the Hong Kong Stock Exchange Main Board on January 27, 2026, with CICC, CITIC SEC, and Zhongyin International as joint sponsors.
The China Securities Regulatory Commission requested Ningbo Deye Technology to provide clarification on the following issues, and requested lawyers to verify and provide clear legal opinions:
1. In accordance with the requirements of the "Guidelines for the Application of Regulatory Rules - Overseas Issuance and Listing Category No. 2," please explain the changes in the capital and shareholders of the limited liability company.
2. Provide specific details on the implementation of regulatory procedures such as overseas investments and foreign exchange registration involved in the establishment of overseas subsidiaries, and provide a conclusive opinion on compliance.
The prospectus shows that Ningbo Deye Technology's core growth areas are in the new energy business, focusing on energy storage inverters, photovoltaic inverters, energy storage battery pack products. Additionally, Ningbo Deye Technology has long been engaged in environmental electrical appliance businesses such as dehumidifiers, CECEP Solar Energy air conditioners, and heat exchangers, and the strategic diversification of its product portfolio has brought growth and resilience to its business.
Energy storage inverters are the core business of Ningbo Deye Technology's product matrix, including single-phase low voltage, three-phase low voltage, three-phase high voltage types with rated power covering 3KW125KW, applicable to households, commercial, and other scenarios. According to Frost & Sullivan's data, in 2024, Ningbo Deye Technology ranked first in the global residential energy storage inverter market; from 2022 to 2024, Ningbo Deye Technology ranked first in the global 5-20kW low-voltage energy storage inverter market for three consecutive years.
