Sunshine 100 China (02608) announced that on March 6, 2026, Haitong International Financial Services Limited and Haitong International Financial Products Limited (collectively known as the "Petitioners") submitted a winding-up petition to the High Court of the Hong Kong Special Administrative Region regarding the redemption price of $205,019,142.44 (including accrued interest) that the company has not paid since March 19, 2025. The petition will be heard at the High Court on May 20, 2026, at 10:00 am. The company received the petition on March 10, 2026.
SUNSHINE 100 (02608) announces that on March 6, 2026, HAITONG INT'L Financial Services Limited and HAITONG INT'L Financial Products Limited (collectively referred to as the "Petitioners") have filed a winding-up petition against the company in the High Court of the Hong Kong Special Administrative Region for the redemption price of $205,019,142.44 (including accrued interest) that remains unpaid since March 19, 2025. The petition will be heard in the High Court on May 20, 2026 at 10:00 AM. The company received the petition on March 10, 2026.
The company will seek legal advice and take all necessary actions to protect its legal rights. Additionally, the company will oppose the petition as the board of directors believes it does not represent the interests of other stakeholders and may harm the company's value. In light of the petition, the company will consider applying to the High Court for relevant recognition orders after consulting legal advice. Shareholders are reminded that there is no guarantee that recognition orders will be granted by the High Court. If recognition orders are not granted, all share transfers after the commencement date (i.e. the date the petition was filed, March 6, 2026) will be deemed invalid.
According to Section 182 of the Companies (Winding-up and Miscellaneous Provisions) Ordinance of Chapter 32 of the Hong Kong laws, any disposal of the company's assets (including rights under litigation) and any transfer of company shares or changes in shareholder status after the commencement date will be invalid under Hong Kong law without a recognition order from the High Court. Any actions taken after the commencement date will not be affected if the petition is subsequently withdrawn, dismissed, rejected, or permanently stayed.
The filing of the petition does not guarantee that the Petitioners will successfully wind up the company. As of the date of this announcement, the High Court has not issued a winding-up order to wind up the company.
