CONTEL (01912) announced that on February 27, 2026, the company's two wholly-owned subsidiaries, Feiling Electronics Co., Ltd. and Yinghao Technology Co., Ltd. (collectively referred to as the "subsidiaries"), received two winding-up petitions submitted to the High Court of the Hong Kong Special Administrative Region by Ms. Feng Tao (the petitioner) under the Companies (Winding Up and Miscellaneous Provisions) Ordinance of Chapter 32 of the Hong Kong laws. The petitions relate to the subsidiaries being wound up by the High Court due to insolvency and inability to repay debts. The petitions will be heard by a Judge of the High Court on May 6, 2026. The petitions are based on the subsidiaries' alleged failure to repay debts under purported loan agreements totaling approximately USD 550,000 (approximately HKD 4.29 million) and RMB 14 million (approximately HKD 15.4 million) respectively, including accrued interest. As of the date of this announcement, no winding-up order has been issued by the High Court to wind up any of the subsidiaries. The company and its related subsidiaries strongly deny the allegations made in the petitions and vigorously dispute the existence of the alleged debts. The Group is currently seeking legal advice on behalf of the subsidiaries in order to take appropriate measures to oppose and defend against the petitions.
